Capital Gains Reinvestment in Portugal: Rent to a Company?

Capital Gains Reinvestment: Can the Property Be Rented to a Company?

Portugal’s new real estate capital gains reinvestment regime has created an important alternative for property owners wishing to sell a property and reinvest the proceeds in the residential rental market.

Since 2026, gains arising from the sale of residential property may, subject to certain conditions, benefit from an exclusion from Portuguese Personal Income Tax (IRS) where the sale proceeds are reinvested in the acquisition of other properties intended for residential letting.

This raises an important practical question: what happens if the property is rented to a company for the accommodation of a shareholder, director or employee?

In summary

The law requires the property acquired through the reinvestment to be intended for residential letting, but does not require the tenant to be an individual.

Furthermore, the Portuguese Tax Authority has already recognised that a lease entered into with a company may qualify as a residential lease, provided that the property is effectively intended for the accommodation of a duly identified individual.

Accordingly, the mere fact that a company is the tenant should not, in itself, prevent the application of the capital gains reinvestment regime.

What is the Portuguese Tax Authority’s position?

The Portuguese Tax Authority has previously considered a case in which a company was the tenant of a property intended to serve as the permanent residence of its managing shareholder.

Although the lease had been entered into with a legal entity, the Tax Authority considered it relevant that the individual for whose permanent residence the property was intended was expressly identified in the lease agreement.

In those circumstances, the Tax Authority recognised the residential nature of the lease for the purposes of the tax regime applicable to rental income.

This position is particularly relevant because it demonstrates that, in the Tax Authority’s view, the residential nature of a lease does not depend exclusively on the tenant being an individual.

The determining factor is the actual use for which the property is intended.

Why is this relevant to the capital gains reinvestment regime?

The Portuguese Personal Income Tax Code currently allows capital gains arising from the disposal of residential properties to be excluded from taxation where the corresponding sale proceeds are reinvested in the acquisition of properties intended for residential letting.

The law focuses on the purpose of the lease and does not expressly require the lease agreement to be entered into directly with the individual who will occupy the property.

Accordingly, when the wording of the law is considered together with the position already adopted by the Portuguese Tax Authority in relation to leases entered into with legal entities, it may be possible to benefit from the reinvestment regime even where the acquired property is rented to a company, provided that it is effectively intended for the accommodation of an identified individual.

This may be the case, for example, where a company rents a property to provide accommodation for a director, manager or employee.

What should be taken into consideration?

Entering into a lease with a company does not remove the requirement to comply with the remaining conditions of the reinvestment regime.

The lease agreement should clearly establish its residential purpose and identify the individual or individuals who will actually occupy the property.

The applicable statutory rent limits must also be observed, together with the relevant time limits for completing the reinvestment and entering into the lease agreement.

The property must also remain subject to one or more residential lease agreements for at least 36 months, whether consecutive or otherwise, during the first five years, and may not be disposed of during that five-year period without forfeiting the tax benefit.

The reinvestment may be total or partial. Where only part of the sale proceeds is reinvested, the exclusion from capital gains taxation will apply proportionately to the amount effectively reinvested.

Frequently Asked Questions

Can a property acquired under the reinvestment regime be rented to a company?

The law does not require the tenant to be an individual. The position previously adopted by the Portuguese Tax Authority supports the view that a lease may retain its residential nature even where the tenant is a company, provided that the property is effectively intended for the accommodation of an identified individual.

Should the individual who will occupy the property be identified in the lease agreement?

It is advisable to do so. The identification of the individual for whose accommodation the property was intended was one of the factors specifically considered by the Portuguese Tax Authority when determining the residential nature of the lease.

Can the property be used to accommodate an employee or company director?

Yes. The essential requirement is that the property is genuinely used for residential purposes and that this purpose is clearly reflected in the lease agreement.

Must the entire sale proceeds be reinvested?

No. A partial reinvestment is permitted, although the exclusion from capital gains taxation will be proportionate to the amount effectively reinvested.

How can we help?

The new reinvestment regime creates significant opportunities for property owners wishing to restructure their real estate assets and redirect their investment towards the residential rental market.

Its application nevertheless requires careful advance consideration of the proposed transaction, with particular attention to the structure and purpose of the lease agreement.

At URB Law Services, we advise on real estate taxation, capital gains and the structuring of reinvestment transactions, assisting both domestic and international clients with real estate transactions in the Algarve and throughout Portugal.
